DIVAFASHION LTD — Registered in England & Wales, company no. 16932732 — info@fashionsdiva.com — www.fashionsdiva.com. Ships from Türkiye. Currency: GBP (£). These terms apply only to wholesale/bulk (business-to-business) orders and are separate from the normal consumer terms.
1. Business customers only. These terms apply to wholesale and bulk orders placed by businesses, retailers, resellers and institutions ("the Buyer"), not by consumers. By placing a wholesale order, the Buyer confirms they are acting in the course of a business and not as a consumer. Consumer cancellation and cooling-off rights (including under the UK Consumer Contracts Regulations 2013) do not apply to wholesale orders.
2. Prices and orders. Wholesale prices are the quantity-tier prices shown at checkout and may change over time. A minimum order value or quantity may apply. An order is accepted once payment is received and DIVAFASHION LTD confirms the order.
3. Prices, taxes and duties. Prices are in GBP (£) and exclude shipping, insurance, import duties, customs charges and local taxes, all of which are the Buyer's responsibility. The Buyer is the importer of record and is responsible for compliance with the import laws of the destination country.
4. Payment. Payment is made online at checkout. Goods remain the property of DIVAFASHION LTD until payment is received in full (retention of title). DIVAFASHION LTD may verify the Buyer's identity and the source of payment for larger orders and may decline, refund or delay any order it reasonably considers suspicious, fraudulent or unlawful.
5. Shipping, title and risk. Estimated lead and shipping times are indicative, not guaranteed. Risk in the goods passes to the Buyer on dispatch. Title passes on full payment. DIVAFASHION LTD is not liable for carrier delays, customs holds, or events outside its reasonable control.
6. Returns. Wholesale orders are made for resale and are non-cancellable and non-returnable except where goods are defective or materially not as described. Claims for defects or shortages must be made in writing within 7 days of delivery, with photos, before the goods are resold or altered. Remedy is limited to replacement or credit of the affected items.
7. Resale and brand. The Buyer may resell the goods but must not misrepresent them, remove labels, or imply an official partnership, agency or endorsement beyond a reseller relationship.
8. Limitation of liability. To the fullest extent permitted by law, DIVAFASHION LTD's total liability arising out of any order is limited to the price paid for the affected goods. DIVAFASHION LTD is not liable for indirect or consequential loss, loss of profit or loss of business. Nothing in these terms limits liability that cannot be limited by law.
9. Force majeure. DIVAFASHION LTD is not liable for failure or delay caused by events beyond its reasonable control, including war, conflict, natural disaster, strikes, customs actions, carrier failure, or interruption of supply.
10. Governing law. These terms and any wholesale order are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
By completing a wholesale order, the Buyer accepts these terms.

DIVAFASHION LTD — مسجّلة في إنجلترا وويلز، رقم الشركة 16932732 — info@fashionsdiva.com — www.fashionsdiva.com. تُشحن من تركيا. العملة: الجنيه الإسترليني (£). تنطبق هذه الشروط على طلبات الجملة (بين التجار) فقط، وهي منفصلة عن شروط المستهلك العادية.
١. للعملاء التجاريين فقط. تنطبق هذه الشروط على طلبات الجملة والكميات الكبيرة المقدَّمة من الشركات والمتاجر والموزّعين والمؤسسات ("المشتري")، وليس من المستهلكين. بإتمام طلب جملة، يؤكد المشتري أنه يتصرّف في سياق نشاط تجاري وليس كمستهلك. ولا تنطبق على طلبات الجملة حقوق الإلغاء وفترة التراجع المقرَّرة للمستهلك (بما في ذلك بموجب لوائح عقود المستهلك البريطانية لسنة ٢٠١٣).
٢. الأسعار والطلبات. أسعار الجملة هي أسعار شرائح الكمية الظاهرة عند الدفع وقد تتغير مع الوقت. قد يُطبَّق حد أدنى لقيمة الطلب أو الكمية. يُعتبر الطلب مقبولاً بعد استلام الدفع وتأكيد DIVAFASHION LTD للطلب.
٣. الأسعار والضرائب والرسوم. الأسعار بالجنيه الإسترليني (£) ولا تشمل الشحن والتأمين ورسوم الاستيراد والجمارك والضرائب المحلية، وكلها على مسؤولية المشتري. المشتري هو المستورد الرسمي وهو المسؤول عن الالتزام بقوانين الاستيراد في بلد الوصول.
٤. الدفع. يتم الدفع أونلاين عند إتمام الطلب. تبقى البضاعة ملكاً لِـ DIVAFASHION LTD حتى سداد كامل المبلغ (حجز الملكية). ويحق للشركة التحقق من هوية المشتري ومصدر الدفع في الطلبات الكبيرة، ولها أن ترفض أو تُعيد المبلغ أو تؤجّل أي طلب تراه بشكل معقول مشبوهاً أو احتيالياً أو غير قانوني.
٥. الشحن والملكية والمخاطرة. مدد التجهيز والشحن تقديرية وغير مضمونة. تنتقل مخاطرة البضاعة إلى المشتري عند الشحن. وتنتقل الملكية عند السداد الكامل. ولا تتحمل الشركة مسؤولية تأخيرات الشحن أو احتجاز الجمارك أو الأحداث الخارجة عن سيطرتها المعقولة.
٦. الإرجاع. طلبات الجملة تُجهَّز لإعادة البيع وهي غير قابلة للإلغاء أو الإرجاع إلا إذا كانت البضاعة معيبة أو مخالفة جوهرياً للوصف. يجب تقديم أي مطالبة عن عيب أو نقص كتابياً خلال ٧ أيام من الاستلام مع صور، وقبل إعادة بيع البضاعة أو تعديلها. ويقتصر التعويض على استبدال أو تعويض قيمة الأصناف المتأثرة.
٧. إعادة البيع والعلامة. يجوز للمشتري إعادة بيع البضاعة، لكن دون تحريف وصفها أو إزالة ملصقاتها أو الإيحاء بشراكة أو وكالة أو اعتماد رسمي يتجاوز علاقة إعادة البيع.
٨. تحديد المسؤولية. إلى أقصى حد يسمح به القانون، تقتصر مسؤولية DIVAFASHION LTD الإجمالية الناشئة عن أي طلب على المبلغ المدفوع عن البضاعة المتأثرة. ولا تتحمل الشركة مسؤولية الخسائر غير المباشرة أو التبعية أو فوات الربح أو خسارة النشاط. ولا يحدّ أي بند من المسؤولية التي لا يجوز تحديدها قانوناً.
٩. القوة القاهرة. لا تتحمل الشركة مسؤولية أي إخفاق أو تأخير بسبب أحداث خارجة عن سيطرتها المعقولة، بما في ذلك الحرب والنزاع والكوارث الطبيعية والإضرابات وإجراءات الجمارك وتعطّل الشحن أو انقطاع التوريد.
١٠. القانون الحاكم. تخضع هذه الشروط وأي طلب جملة لقوانين إنجلترا وويلز، ولمحاكم إنجلترا وويلز الاختصاص الحصري.
بإتمام طلب الجملة، يوافق المشتري على هذه الشروط.
